1. Agreement to Terms
By accessing or using the ARCHIE TECH NEXUS platform ("Service") at https://whatsapp.archietech.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and ARCHIE TECH NEXUS, a technology consultancy company registered in Nairobi, Kenya.
2. Description of Service
ARCHIE TECH NEXUS provides a WhatsApp Business Cloud API management dashboard that enables businesses to:
- Send and receive messages via the WhatsApp Business Cloud API
- Manage multiple WhatsApp Business accounts from a unified dashboard
- Organize contacts with labels, notes, and CRM-style management
- Create and manage WhatsApp message templates
- Schedule messages and conduct broadcast campaigns
- Configure AI-powered automated responses
- Access messaging analytics and reporting
- Send interactive messages with buttons and lists
- Receive real-time notifications via Telegram integration
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction
- Have the legal authority to agree to these Terms
- Have a valid WhatsApp Business Account (WABA) or be authorized to manage one
- Comply with WhatsApp's Business Policy and Commerce Policy
- Comply with Meta's Platform Terms and Developer Policies
4. Account and Access
4.1 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
4.2 Authorized Use
Access to the Service is granted to authorized administrators only. You may not share your login credentials with unauthorized parties or allow unauthorized access to the platform.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Send spam, unsolicited messages, or bulk messages that violate WhatsApp's policies
- Send messages containing illegal, harmful, threatening, abusive, harassing, defamatory, or objectionable content
- Use the Service to engage in phishing, fraud, or other deceptive practices
- Attempt to gain unauthorized access to the Service or its underlying systems
- Reverse engineer, decompile, or disassemble the Service or its components
- Use the Service in any way that could damage, disable, or impair its functionality
- Violate any applicable laws, regulations, or third-party rights
- Send messages that violate WhatsApp Business Policy or Meta Platform Terms
- Use the Service to collect or store personal data in violation of applicable data protection laws
6. WhatsApp and Meta Platform Compliance
Our Service operates through the Meta WhatsApp Business Cloud API. By using the Service, you also agree to comply with:
Violations of Meta or WhatsApp policies may result in suspension or termination of your access to the Service and/or your WhatsApp Business Account.
7. Message Templates
WhatsApp requires pre-approved message templates for initiating conversations outside the 24-hour customer service window. You are responsible for:
- Ensuring template content complies with WhatsApp's template guidelines
- Obtaining proper consent before sending template messages to end users
- Not using templates for prohibited content categories
8. Data Processing
Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge and agree to the data practices described in our Privacy Policy.
If you use the Service to process data of individuals located in the European Union, you are responsible for ensuring compliance with the General Data Protection Regulation (GDPR) and appointing appropriate data processors.
9. Intellectual Property
The Service, including its design, code, features, and documentation, is the intellectual property of ARCHIE TECH NEXUS. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
WhatsApp and Meta are trademarks of Meta Platforms, Inc. Their use in our Service is solely for integration purposes as authorized through the Meta Developer Platform.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
- We do not guarantee uninterrupted, secure, or error-free operation of the Service
- We are not liable for any message delivery failures or delays caused by WhatsApp, Meta, or network issues
- Our total liability shall not exceed the fees paid by you for the Service in the preceding 12 months
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
11. Indemnification
You agree to indemnify and hold harmless ARCHIE TECH NEXUS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including breach of these Terms. Upon termination:
- Your right to access and use the Service will immediately cease
- You may request export of your data within 30 days of termination
- Provisions that by their nature should survive termination shall survive
13. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
